Join our Qrew! </div>We are seeking a highly motivated Attorney/Sr. Attorney, Corporate & Securities to join our legal team, supporting a broad range of corporate governance, securities compliance, and transactional matters in a fast-paced public company environment. This role offers the opportunity to make meaningful contributions as part of a high-performing in-house legal team. The Attorney/Sr. Attorney, Corporate & Securities responsibilities include but are not limited to: <ul> <li>In coordination with more senior members of the Corporate & Securities legal team, providing legal support on a wide range of corporate, governance and securities matters, including: <ul> <li>Securities law compliance (such as Forms 10-K, 10-Q, 8-K, rules check and compliance)</li> <li>Section 16 filings (Forms 3 and 4)</li> <li>Compliance with public company reporting and disclosure obligations (NYSE compliance; share ledger management; etc.)</li> <li>Treasury matters</li> <li>Subsidiary management</li> <li>Support various aspects of the Corporate Secretary function</li> <li>Support know-your-customer compliance processes</li> <li>Transactional support, including capital markets transactions, M&A transactions, and venture investments</li> <li>Limited amount of business travel required </li> </ul> </li> </ul>   Required Experience and Skills: <ul> <li>2+ years of corporate transactional/securities law experience with a large law firm</li> <li>Bachelor’s Degree and Juris Doctorate (J.D.) from an accredited law school</li> <li>Admission to at least one U.S. state bar</li> <li>Exceptional interpersonal skills and outstanding academic credentials</li> <li>Demonstrated team orientation with desire to broaden knowledge and perspective through variety of tasks</li> <li>Ability to work under pressure and juggle multiple priorities in an effective manner by leveraging robust adaptability, multi-tasking, and time management skill sets</li> <li>High degree of initiative and attention to detail</li> </ul>   Preferred Experience and Skills: <ul> <li>Utilization of technology to monitor and execute workload</li> <li>Experience with federal securities laws, regulations, and interpretations</li> <li>Exposure to energy or natural resources industry is a plus</li> </ul>   Remote work is being considered for this role excluding the following states:  California, Connecticut, Delaware, Illinois, Indiana, Louisiana, Massachusetts, Michigan, New Jersey, New York, and Tennessee unless willing to relocate.<div class="content-conclusion"> Selected incumbent will be placed into the position that best suits their abilities and experience level.
