<p><strong>What You'll Do:</strong></p>
<ul>
<li data-aria-posinset="1" data-aria-level="1"><span data-contrast="none">Advising on executive compensation and employee benefits issues in connection with </span><span data-contrast="none">M&A, private equity transactions, IPOs, joint ventures, and restructurings</span> </li>
<li data-aria-posinset="2" data-aria-level="1"><span data-contrast="none">Counseling founders, CEOs, senior executives, and boards on:</span> </li>
<li data-aria-posinset="3" data-aria-level="1"><span data-contrast="none">Executive employment and retention agreements</span> </li>
<li data-aria-posinset="4" data-aria-level="1"><span data-contrast="none">Equity incentive and carried interest structures</span> </li>
<li data-aria-posinset="5" data-aria-level="1"><span data-contrast="none">Deferred compensation and incentive arrangements</span> </li>
<li data-aria-posinset="6" data-aria-level="1"><span data-contrast="none">Change-in-control and termination protections</span> </li>
<li data-aria-posinset="7" data-aria-level="1"><span data-contrast="none">Performance-based compensation design</span> </li>
<li data-aria-posinset="8" data-aria-level="1"><span data-contrast="none">Providing strategic guidance on </span><span data-contrast="none">tax and ERISA considerations</span><span data-contrast="none">, including equity compensation and nonqualified deferred compensation programs</span> </li>
<li data-aria-posinset="9" data-aria-level="1"><span data-contrast="none">Supporting compensation aspects of complex and often confidential corporate events</span> </li>

<p><strong>What We're Looking For</strong><strong>:</strong></p>
<ul>
<li data-aria-posinset="15" data-aria-level="1"><strong><span data-contrast="none">4–8 years</span></strong><span data-contrast="none"> of executive compensation and employee benefits experience</span> </li>
<li data-aria-posinset="16" data-aria-level="1"><span data-contrast="none">Experience at an </span><strong><span data-contrast="none">Am Law 50</span></strong><span data-contrast="none"> or comparably sophisticated practice preferred</span> </li>
<li data-aria-posinset="17" data-aria-level="1"><span data-contrast="none">Strong experience in transaction-related compensation matters</span> </li>
<li data-aria-posinset="18" data-aria-level="1"><span data-contrast="none">Excellent technical skills in tax and ERISA aspects of executive compensation</span> </li>
<li data-aria-posinset="19" data-aria-level="1"><span data-contrast="none">Ability to operate independently in a fast-paced, high-level advisory environment</span> </li>
