<p>Behind many of life’s biggest financial decisions such as buying a car, securing a mortgage, or financing a business, is a complex network of credit relationships. Setpoint is building the infrastructure that powers these relationships, enabling the world’s largest banks, credit funds, asset managers, and capital markets counterparties to operate with trust and efficiency.</p>
<p>Setpoint is looking for an <strong>Associate Counsel </strong> to join our team!</p>
<p>The ideal candidate brings expertise across capital markets, structured finance, and technology transactions, with the ability to operate as both a trusted legal advisor and a commercial partner. You’ll play a critical role in supporting Setpoint’s growth by building scalable legal processes, negotiating complex agreements, and helping our customers and partners confidently navigate the evolving credit ecosystem.</p>

<p><strong>What you’ll do</strong></p>
<ul>
<li>Work closely with the VP, Legal and Sales Team to oversee all legal aspects of customer documentation and capital markets technology products</li>
<li>Draft and negotiate SaaS and other customer agreements</li>
<li>Review and negotiate documentation in connection with our technology platform services and our Capital Solutions team</li>
<li>Keep up to speed with industry trends and legal and regulatory market changes</li>

<p><strong>You should have</strong></p>
<ul>
<li>5+ years of experience drafting and negotiating a variety of capital markets and finance agreements and related documentation, including asset backed facilities. </li>
<li>Fintech experience and/or in-house experience at a bank or financial institution is a plus.</li>
<li>Proficiency with AI tools a plus.</li>
<li>Ability to prioritize appropriately, and meet deadlines in a high-pressure environment</li>
<li>JD degree from a top tier law school, admission to the New York bar in good standing</li>
<li>Flexible, positive, and team oriented approach to work</li>

<p>Setpoint provides purpose-built capital and technology to asset-backed borrowers and lenders. Our platform is the funding operating system for originators: it verifies and stores documents, automates critical calculations and compliance reporting, and digitizes assets like homes or cars. Setpoint's technology makes warehouse transactions instant and error-free.</p>
<p>In August 2024, Setpoint closed a $31 million Series B led by 645 Ventures, with strategic investments from Citi and Wells Fargo, alongside Andreessen Horowitz, NextView Ventures, Henry Kravis, Zillow founder's 75 & Sunny, and others.</p>

<p><strong>Compensation</strong></p>
<p>Compensation includes a target OTE range of $175,000 - $200,000<strong> </strong>consisting of base salary and a performance-based bonus. Actual compensation will depend on several factors, including the candidate's location, skills, experience, and market considerations. Additionally, equity is a component of the overall compensation package, providing employees with the opportunity to share in the long-term success and growth of the company.</p>
<p>We offer a comprehensive benefits package that includes <strong>medical, dental, and vision coverage, 401(k), short- and long-term disability coverage, and flexible vacation.</strong> We have offices in Austin, TX, New York City, NY, and Salt Lake City, UT, with hybrid roles based in these locations and an expectation of two days per week in office (Tuesdays and Thursdays).</p>
