As Director, BLA - Corporate M&A, you will support complex transactions from evaluation through closing, partnering closely with business partners and cross-functional teams across the organization. This role requires a significant M&A experience as well as general corporate knowledge and exceptional drafting and negotiating ability.</p> <h2><strong>What you'll do:</strong></h2> <ul> <li>Provide support for all aspects of global M&A, strategic investments, joint ventures, divestitures, and other corporate transactions.</li> <li>Draft, negotiate, and finalize a wide range of transactional agreements, ranging from engagement letters, approval documents, NDAs and term sheets to joint venture agreements and, equity and asset purchase agreements.</li> <li>Drive and manage due diligence, including issue spotting, risk evaluation, coordination of internal stakeholders, and supervision of outside counsel.</li> <li>Lead cross-functional workstreams, collaborating with Finance, Strategy, Tax, HR, Operations, and other internal partners throughout the transaction lifecycle.</li> <li>Manage and provide general corporate advice relating to governance matters and other issues relating to past and current transactions.</li> <li>Enhance deal processes, advising on best practices, developing scalable procedures, and driving continuous improvement in diligence and execution workflows.</li> </ul> <h2 class="iCIMS_InfoMsg iCIMS_InfoField_Job"><strong>Who you are:</strong></h2> <ul> <li>Minimum of 3 years of relevant experience at a major law firm; with significant responsibility in supporting complex M&A transactions; JD from a reputable law school; admitted to the New York Bar and in good standing.</li> <li>Exceptional negotiating and drafting skills with keen attention to detail</li> <li>Exceptional communication and analytical capabilities, capacity to articulate complex legal concepts clearly in both written and oral formats.</li> <li>Highly collaborative with a service-oriented mindset to help progress transactions to a successful closing.</li> <li>Demonstrated ability to manage competing priorities in a fast-paced environment while maintaining a high standard of accuracy and judgment.</li> <li>Flexibility to support broader corporate legal needs outside of M&A as business priorities evolve.</li> </ul> <h2 class="iCIMS_InfoMsg
