<p>ANSER is seeking&nbsp;a&nbsp;Mitigation Manager<strong>&nbsp;</strong>to provide&nbsp;mitigation/compliance and enforcement analysis&nbsp;for the Office of the&nbsp;Deputy Assistant Secretary of Defense for Industrial Base Policy&nbsp;(IBP) Global Investment and Economic Security Directorate (GIES).&nbsp;In this&nbsp;role&nbsp;you&nbsp;will&nbsp;review transactional documents, regulations, government contracts, and real estate contracts.&nbsp; You will provide&nbsp;legal reviews of mergers and acquisitions, business/corporate law, regulations, finance, international trade, national security, litigation, and technology; and&nbsp;collaborate&nbsp;with Investment Analysts&nbsp;to&nbsp;draft complex agreements such as National Security Agreements and written briefing packages for senior government officials.&nbsp;&nbsp;</p> <p><strong>&nbsp;</strong><strong>Day to Day&nbsp;Responsibilities:</strong>&nbsp;</p> <ul> <li>Review&nbsp;transactional documents, regulations, government contracts, and real estate contracts.&nbsp;</li> <li>Support legal reviews of mergers and acquisitions, business/corporate law, regulations, finance, international trade, national security, litigation, and technology.&nbsp;&nbsp;</li> <li>Collaboratively work with Investment Analysts on drafting complex agreements such as National Security Agreements and written briefing packages for senior government officials.&nbsp;&nbsp;</li> <li>Collaboratively work with Investment Analysts and Team Telecom Analysts, transaction parties, counsel, equity holders, and senior counsel.&nbsp;</li> <li>Provide compliance monitoring for the implementation of CFIUS agreements and orders&nbsp;to ensure risks&nbsp;identified&nbsp;in a transaction are appropriately mitigated: <ul> <li>coordinating and communicating with agreement parties on compliance concerns&nbsp;&nbsp;</li> <li>interviewing&nbsp;monitored&nbsp;party nominations&nbsp;&nbsp;</li> <li>evaluating parties' compliance&nbsp;&nbsp;</li> <li>analyzing legal and policy case compliance concerns and providing recommendations for DoD decisions&nbsp;&nbsp;</li> <li>preparing and supporting necessary compliance reports and enforcement documentation&nbsp;&nbsp;</li> </ul> </li> <li>Negotiation&nbsp;and drafting of CFIUS legal documents, to include waivers, joinders, amendments, and terminations.&nbsp;&nbsp;</li> <li>Execute CFIUS and Team Telecom compliance monitoring through site visits, DoD stakeholder meetings and visits, and other meetings for the purpose of compliance monitoring</li> <li>Develop,&nbsp;maintain, and execute policies and standard procedures for the CFIUS interagency process and for DoD monitoring of foreign investment risk associated with&nbsp;product integrity, supply assurance, collocation, and technology transfer.</li> <li>Support compliance monitoring function with business operations professionals and cybersecurity&nbsp;expertise.&nbsp;</li> <li>Produce case summaries, talking points, and action memos for DoD leadership.&nbsp;&nbsp;</li> <li>Support evolving investment and technology security policy developments, and&nbsp;CFIUS policy developments as&nbsp;required.&nbsp;&nbsp;</li> <li>Work with Case Managers to finish RBAs and develop mitigation terms in coordination with the Business Transaction Specialist, Cybersecurity Specialist, Senior Engineer, and DoD Stakeholders.&nbsp;</li> </ul> <p><strong>Required Qualifications:</strong>&nbsp;</p> <ul> <li>Active TS/SCI clearance&nbsp;</li> <li>Master's Degree.</li> <li>6 or more years’ relevant mitigation/compliance and enforcement analysis&nbsp;</li> <li>Experience&nbsp;providing&nbsp;solutions to an organization’s challenges through the application of knowledge gained through similar prior engagements.&nbsp;&nbsp;</li> <li>Experience in&nbsp;directing&nbsp;the activities of specialists or other staff as needed&nbsp;on activities</li> <li>Four years of relevant legal experience with Transactional Law, mergers and acquisitions, Corporate Law, contract negotiation, data protection and privacy law, cybersecurity, national security, or military law.&nbsp;&nbsp;&nbsp;&nbsp;</li> </ul> <p><strong>Preferred Qualifications:</strong>&nbsp;</p> <ul> <li>Juris Doctorate Degree.</li> <li>Strong interpersonal/social skills&nbsp;</li> <li>Exceptional written and verbal communication skills&nbsp;</li> <li>Demonstrated experience&nbsp;operating&nbsp;within the Department of Defense (DoD), the Industrial Base Policy or a similar, strategic-level staff environment&nbsp;</li> <li>Proven ability to brief, interact with, and provide counsel to senior military leaders, including Flag and General Officers&nbsp;</li> <li>Experience supporting on-site implementation of project plans and process improvement initiates ensuring&nbsp;objectives&nbsp;are met&nbsp;</li> <li>Professional certification as a Project Management Professional (PMP)&nbsp;a&nbsp;Lean Six Sigma (Green Belt or higher) or a recognized equivalent&nbsp;with&nbsp;a track record&nbsp;of driving successful process improvement
