<p data-start="799" data-end="1521"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;">We are excited to offer a unique opportunity for a <strong data-start="850" data-end="871">Corporate Counsel</strong> who will play a key strategic role in supporting Burris Logistics, with a primary focus on <strong data-start="963" data-end="984">Trinity Logistics</strong>. In this highly impactful position, you will provide expert legal guidance on a wide range of matters—including contracts, litigation, labor & employment, regulatory topics, and risk mitigation. You’ll serve as a trusted advisor to leadership, shaping policies, influencing strategy, and ensuring compliance across a dynamic logistics environment. <li style="font-family: helvetica, arial, sans-serif; font-size: 12pt;" data-start="2479" data-end="2665"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;">Lead the <strong data-start="2488" data-end="2525">drafting, negotiation, and review</strong> of a wide variety of contracts, including customer and vendor agreements, insurance policies, leases, and other critical legal documents.</span></li>
<li style="font-family: helvetica, arial, sans-serif; font-size: 12pt;" data-start="2668" data-end="2847"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;">Serve as a <strong data-start="2679" data-end="2704">trusted legal advisor</strong> to executive leadership and management, offering clear, timely guidance aligned with business, financial, operational, and legal objectives.</span></li>
<li style="font-family: helvetica, arial, sans-serif; font-size: 12pt;" data-start="2850" data-end="2991"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;">Provide support on <strong data-start="2869" data-end="2962">complex contractual issues, strategic initiatives, litigation, labor & employment matters</strong>, and other emerging needs.</span></li>
<li style="font-family: helvetica, arial, sans-serif; font-size: 12pt;" data-start="2994" data-end="3184"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;">Stay current on federal, state, and industry regulations—particularly <strong data-start="3064" data-end="3078">DOT, FMCSA</strong>, and other applicable requirements—while developing a deep understanding of the businesses you support.</span></li>
<li style="font-family: helvetica, arial, sans-serif; font-size: 12pt;" data-start="3187" data-end="3307"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;">Develop, refine, and implement <strong data-start="3218" data-end="3264">policies and standard operating procedures</strong> to reduce risk and reinforce compliance.</span></li>
<li style="font-family: helvetica, arial, sans-serif; font-size: 12pt;" data-start="3310" data-end="3404"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;">Collaborate cross-functionally to ensure legal strategies align with broader business goals.</span></li>
<li style="font-family: helvetica, arial, sans-serif; font-size: 12pt;" data-start="3407" data-end="3521"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;">Contribute to the Company’s overall <strong data-start="3443" data-end="3461">legal strategy</strong>, promoting a proactive, solutions-oriented legal culture.</span></li>
<li style="font-family: helvetica, arial, sans-serif; font-size: 12pt;" data-start="3524" data-end="3610"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;">Guide and manage the resolution of <strong data-start="3559" data-end="3583">contractual disputes</strong> and other legal matters.</span></li>
<li style="font-family: helvetica, arial, sans-serif; font-size: 12pt;" data-start="3613" data-end="3721"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;">Lead and coordinate work with <strong data-start="3643" data-end="3669">external legal counsel</strong> to support business growth and positive outcomes.</span></li>
<li style="font-family: helvetica, arial, sans-serif; font-size: 12pt;" data-start="3724" data-end="3853"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;">Oversee the full <strong data-start="3741" data-end="3763">contract lifecycle</strong>, including the management and optimization of the Company’s contract management system.</span></li>
<li style="font-family: helvetica, arial, sans-serif; font-size: 12pt;" data-start="3856" data-end="3937"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;">Develop strategies to reduce legal exposure for <strong data-start="3904" data-end="3934">Trinity offices and Agents</strong>.</span></li>
<li style="font-family: helvetica, arial, sans-serif; font-size: 12pt;" data-start="3940" data-end="4056"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;">Maintain oversight of policy documentation to ensure clarity, consistency, and compliance with legal developments.</span></li>
<li style="font-family: helvetica, arial, sans-serif; font-size: 12pt;" data-start="4059" data-end="4134"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;">Participate in special projects and handle other assigned duties as needed.</span></li>
</ul>
<p><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;"><em><u>Experience & Qualifications<br></u></em></span></p>
<ul>
<li style="font-family: helvetica, arial, sans-serif; font-size: 12pt;" data-start="4174" data-end="4239"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;"><strong data-start="4174" data-end="4197">Juris Doctor (J.D.)</strong> from an accredited law school required.</span></li>
<li style="font-family: helvetica, arial, sans-serif; font-size: 12pt;" data-start="4242" data-end="4368"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;">Ability to register and maintain a license as <strong data-start="4288" data-end="4320">in-house counsel in Delaware </strong>required; an active Delaware law license is preferred.</span></li>
<li style="font-family: helvetica, arial, sans-serif; font-size: 12pt;" data-start="4371" data-end="4446"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;"><strong data-start="4371" data-end="4408">Five years of relevant experience</strong> in a corporate setting or law firm.</span></li>
<li style="font-family: helvetica, arial, sans-serif; font-size: 12pt;" data-start="4449" data-end="4561"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;">Experience in <strong data-start="4463" data-end="4539">contracts, corporate law, litigation, labor & employment, and compliance</strong> strongly preferred.</span></li>
<li style="font-family: helvetica, arial, sans-serif; font-size: 12pt;" data-start="4564" data-end="4642"><span style="font-family: helvetica, arial, sans-serif; font-size: 12pt;"><strong data-start="4564" data-end="4624">3+ years in the transportation and/or logistics industry</strong> highly desirable.</span></li>
